Operations are protected by a $1 million professional indemnity insurance policy with AIG Insurance.
1. Acceptance of Terms
By engaging Johnson Energy Consulting for services, you agree to these Terms of Service. If you do not agree, please notify me immediately.
Where no signed agreement is in place, acceptance of these Terms is deemed to have occurred upon any of the following: payment of a deposit or invoice, provision of project materials or data, written instruction to commence work, or any other conduct reasonably indicating the client's intention to proceed with the engagement.
2. Services
I provide energy consulting services including commercial solar analysis, battery sizing, energy trading and FCAS modelling, financing cash flow analysis, branded proposals, and other opportunities such as EV charger evaluation, tariff analysis, and load assessments. The specific scope of work will be outlined in our proposal or agreement prior to commencement. I am committed to delivering all services with professional care and skill.
3. Engagement Models
Services are offered across a range of engagement models including fixed price, hourly, capped hourly, retainer, and custom arrangements. Current pricing and engagement model details are published on the JEC Pricing page at www.johnsonenergyconsulting.com.au/pricing. Pricing applicable to your engagement will be confirmed in writing prior to commencement.
A site is defined as a unique load profile, tariff, or export profile. A site may include one or many NMIs.
4. Optional Extras
The following optional extras are available for each site. Current pricing for optional extras is published on the JEC Pricing page at www.johnsonenergyconsulting.com.au/pricing.
Financing Cash Flows — Modelled cash flows for PPAs, leases, loans, rentals, and other financing structures, charted per stakeholder.
Branded Proposals — Professionally designed proposals featuring your branding, suitable for investors and decision makers.
Other Opportunities — Additional analysis covering outage reduction, tariff changes, EV chargers, export limit changes, load changes, and diesel savings.
5. Revisions
For Fixed Price engagements, the first revision is provided at no additional charge. Subsequent revisions are billed at the current hourly rate as published on the JEC Pricing page at www.johnsonenergyconsulting.com.au/pricing, charged in half-hour increments.
6. Your Responsibilities
To ensure the best results, you agree to:
Provide timely information, approvals, and materials I need.
Make decisions promptly when requested.
Communicate any concerns or changes to me without delay.
7. Payment Terms
An invoice will be issued with each report, analysis, or proposal upon completion of the relevant work unless otherwise agreed. Payment is due within 14 days of the invoice date. Late payments may incur a late fee of 2% per month. Credit card payments will incur a 1.5% surcharge.
8. Changes and Updates
If you request changes to the agreed scope of work after a project has commenced, I will discuss any additional costs or timeline adjustments with you before proceeding.
9. Confidentiality
Both parties agree to keep all sensitive business and project information confidential during and after our engagement. My preference is for both parties to sign an NDA prior to commencing any project.
10. Intellectual Property
Upon full payment for services, any new materials or intellectual property I create specifically for you will become your property. I retain the right to showcase work for promotional purposes.
11. Cancellation / Termination
Either party may terminate services with 14 days written notice. If services are terminated before completion, you will be invoiced for work completed up to the termination date.
12. Limitation of Liability
Johnson Energy Consulting's total liability to you for any claim arising out of or in connection with the services — whether in contract, tort (including negligence), statute, or otherwise — is limited to the total fees paid by you for the specific services giving rise to the claim. Johnson Energy Consulting is not liable for any indirect, consequential, special, or incidental losses, lost profits, or lost savings, even if advised of the possibility of such losses. Nothing in these Terms excludes liability that cannot be lawfully excluded under applicable Australian Consumer Law.
13. No Guarantee of Financial Outcomes
All analysis, modelling, projections, and reports provided by Johnson Energy Consulting are based on the information available at the time and incorporate assumptions about future energy prices, tariffs, load profiles, network charges, regulatory conditions, and system performance. These outputs are estimates only and do not constitute a guarantee, warranty, or representation of actual financial outcomes. Actual results may differ materially from projections. Johnson Energy Consulting accepts no liability for any investment or procurement decision made in reliance on projected outcomes that are not realised.
14. Reliance on Information Provided
Johnson Energy Consulting relies on information provided by the client and third parties, including interval meter data, utility bills, and network tariff schedules. JEC accepts no liability for errors or omissions in that information, or for any resulting inaccuracies in outputs, recommendations, or projections.
15. Client Acknowledgment and Assumption of Risk
By engaging Johnson Energy Consulting and accepting deliverables, the client acknowledges that: (a) all reports and analysis are advisory in nature and do not constitute financial advice; (b) investment and procurement decisions remain solely the client's responsibility; and (c) the client waives any claim against Johnson Energy Consulting arising from reliance on projected financial outcomes that are not realised.
16. Governing Law
These Terms of Service are governed by the laws of New South Wales, Australia, and any disputes will be resolved in the courts of that jurisdiction.
